These Terms & Conditions (“Terms”) govern access to and use of Tealytics (the “Service”), including our website, web application, and related services, features, content, and subscriptions.

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Operator and contact

2) Scope and legal approach

We offer the Service to users globally. Laws differ by country, so we handle this in three layers:

  1. These Terms: The contract rules for using Tealytics.
  2. Mandatory local laws: Certain consumer, privacy, and payment laws cannot be overridden. If those laws apply to you, they apply to the minimum extent required even if these Terms say otherwise.
  3. Local addenda: Where needed, we may publish jurisdiction-specific addenda (for example, an EU Consumer Addendum or US State Privacy Notice). If an addendum conflicts with these Terms, the addendum controls for users in that jurisdiction.

Nothing in these Terms limits rights that cannot legally be limited in your country of residence.

3) Definitions

  • “Account”: Your registered account.
  • “Content”: Any information, data, text, images, files, or other materials.
  • “User Content”: Content you upload, submit, import, generate, or otherwise provide to the Service.
  • “Free Plan”: The no-fee tier (if offered).
  • “Paid Plan” / “Subscription”: A recurring paid plan that unlocks paid features.
  • “Business Customer”: You use the Service primarily for business/commercial purposes.
  • “Consumer”: You use the Service primarily for personal purposes (where your local law defines “consumer”).

4) Eligibility and authority

You must be at least 16 years old (or older where required by local law) to use the Service.

If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to the organization.

5) Accounts, security, and access

  • You are responsible for all activity under your Account.
  • You must provide accurate information and keep it up to date.
  • Keep credentials confidential and notify us promptly of unauthorized access.
  • We may suspend or restrict access to protect security, prevent abuse, comply with law, or investigate suspected violations.

6) The Service (availability and changes)

We aim to keep Tealytics reliable, but we do not guarantee uninterrupted operation.

We may modify the Service, including adding/removing features, changing limits (e.g., storage, imports/exports, rate limits), or discontinuing parts of the Service.

If you have an active Paid Plan, we will use reasonable efforts not to materially reduce core paid functionality during your current billing period, except for security, legal, or abuse-prevention reasons.

7) Acceptable use

You agree not to misuse the Service. You must not:

  • violate laws or regulations,
  • infringe privacy or intellectual property rights,
  • upload malware or attempt to disrupt, probe, or attack the Service,
  • scrape or harvest data from the Service without permission,
  • run spam/phishing campaigns,
  • reverse engineer the Service except where mandatory law permits it,
  • use the Service to process special categories of personal data (e.g., health/biometrics/political opinions) unless we explicitly agree in writing and provide appropriate terms (e.g., a DPA).

We may remove content, restrict features, or suspend/terminate Accounts if we reasonably believe you violated these Terms.

8) User Content and data rights

8.1 You own your User Content

You retain all rights to your User Content. These Terms do not transfer ownership to us.

8.2 License you grant to us

You grant Tealytics a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content only as needed to provide, maintain, secure, and improve the Service, and to comply with law.

This license ends when your User Content is deleted, except where retention is required for legal, security, dispute, or backup purposes (see Section 16).

8.3 You are responsible for your data and permissions

You represent and warrant that:

  • you have all rights necessary to provide your User Content,
  • your User Content and your use comply with applicable laws (including data protection laws).

8.4 Aggregated / de-identified analytics

We may create aggregated and/or de-identified metrics about Service usage (e.g., performance, feature adoption). This data does not identify you and may be used to operate, improve, and market the Service.

9) Intellectual property

Tealytics (including software, design, branding, and all content we provide excluding User Content) is owned by Tealytics or our licensors and protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works from the Service except as expressly permitted by these Terms or mandatory law.

10) Third-party services

The Service may integrate with or link to third-party services (e.g., payment processors, hosting, analytics, authentication). Third-party services are subject to their own terms and policies. We are not responsible for third-party services or outages.

11) Freemium plans, billing, and renewals

11.1 Plans

We may offer a Free Plan and one or more Paid Plans. Features, limits, and pricing will be described in the Service at the time you sign up or purchase.

11.2 Subscriptions and renewals

Unless stated otherwise, Paid Plans renew automatically at the end of each billing period until you cancel.

11.3 Cancellation

You can cancel a Paid Plan at any time effective at the end of the current billing period. Fees are non-refundable except where required by applicable law or where we explicitly state otherwise.

11.4 Trials and promotions

Trials or discounts may convert into a paid subscription automatically unless you cancel before the trial ends, if disclosed at signup.

11.5 Taxes

Prices may exclude applicable taxes (such as VAT, GST, sales tax) unless stated otherwise. You are responsible for any taxes payable, except where we are required to collect and remit them.

11.6 Price changes

We may change pricing. If you have an active Paid Plan, changes apply at the next renewal. We will provide reasonable notice.

12) EU/UK consumer notice

If you are a consumer in the EU/EEA/UK, you may have a legal right to withdraw from a distance contract within 14 days.

Where you request immediate access to the Service (digital content/digital service), you acknowledge that you may lose the right of withdrawal once performance begins, to the extent permitted by law and where properly disclosed and consented to during checkout.

If consumer laws in your jurisdiction grant additional rights (for example, statutory guarantees), those rights remain unaffected.

13) US legal notes

If you are located in the United States:

  • Some states provide non-waivable consumer rights. These Terms apply only to the extent permitted by those laws.
  • If required, we may provide a US State Privacy Notice (for example addressing California privacy rights) in our Privacy Policy or an addendum.

14) Beta features

Beta features are provided “as is” and may be incomplete or unstable. We may change or discontinue Beta features at any time without notice. Beta features may have different security, availability, or support commitments than general features.

15) Feedback

If you submit feedback, ideas, or suggestions, you grant Tealytics a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate them without compensation or attribution.

16) Suspension, termination, and retention

16.1 Termination by you

You may stop using the Service at any time and may delete your Account where the Service provides that option.

16.2 Termination or suspension by us

We may suspend or terminate access if we reasonably believe:

  • you violated these Terms,
  • your use poses a security risk,
  • we must do so to comply with law,
  • your Account is involved in fraud or abuse.

Where reasonable, we will attempt to provide notice.

16.3 Data retention and deletion

After termination, we may delete your User Content and account data after a reasonable period, except where we must retain data for legal compliance, disputes, enforcement, security, or backups.

Where export is offered, we recommend exporting your data before closing your Account.

17) Disclaimers

To the maximum extent permitted by law:

  • The Service is provided on an “as is” and “as available” basis.
  • We do not warrant that the Service will be uninterrupted, error-free, or meet your requirements.
  • We do not warrant that outputs or analytics are accurate, complete, or fit for a particular purpose.
  • You are responsible for maintaining independent backups and verifying results.

If mandatory law provides warranties that cannot be excluded, those warranties apply only to the minimum extent required.

18) Limitation of liability

Nothing in these Terms limits liability for intent, gross negligence, death or personal injury, fraudulent misrepresentation, or any liability that cannot be excluded by mandatory law.

Subject to the above, and to the maximum extent permitted by law:

  1. We are liable for simple negligence only for breach of a material contractual obligation (an obligation whose fulfillment enables proper performance of the contract and on which you typically rely).
  2. In that case, liability is limited to foreseeable, typical damages.
  3. We are not liable for indirect damages, consequential damages, loss of profits, business interruption, or loss of data, except to the extent mandatory law requires otherwise.

If you use the Service under a Free Plan, our liability may be further limited to the extent permitted by law.

19) Indemnification

If you are a Business Customer, you agree to indemnify and hold harmless Tealytics from claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of:

  • your User Content,
  • your violation of these Terms,
  • your violation of law or third-party rights.

If you are a Consumer, this section applies only to the extent permitted by mandatory consumer law.

20) Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example via email or in-app notice) and indicate the effective date.

Continued use of the Service after the effective date means you accept the updated Terms.

21) Governing law and jurisdiction

These Terms are governed by the laws of [your country/state of establishment], excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

Mandatory consumer protection laws in your country of residence may still apply.

  • If you are a Business Customer, exclusive jurisdiction is [your courts / your city].
